Carbidia Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Carbidia website and services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Definitions

  • Carbidia, we, us, our: Carbidia Inc., a Wyoming S corporation and operator of the Service.
  • User, you, your: Any individual or entity using the Service, whether as a Seller or Buyer.
  • Seller: A User who submits a vehicle for auction on the Service.
  • Buyer: A User who places a bid and/or purchases a vehicle through the Service.
  • Auction: The process by which a Seller’s vehicle is offered for bidding.
  • Buyers Premium: A fee equal to 5% of the final bid price, payable by the Buyer.

2. Eligibility

  1. You must be at least 18 years old and legally capable of entering into binding contracts.
  2. The Service is available only to residents of the United States.

3. Account Registration

  1. To participate, you must register for a Carbidia account and provide accurate, complete information.
  2. You are responsible for safeguarding your account credentials and all activities under your account.

4. Auction Listings

  1. Seller Responsibilities
    • Submit accurate descriptions, photographs, and disclosures of the vehicle.
    • Ensure clear title and legal right to sell.
  2. Carbidia’s Role
    • We list the vehicle on our website and facilitate bidding.
    • We do not inspect, guarantee, or certify vehicle condition.

5. Bidding and Sale Process

  1. Bidding opens and closes at times specified on the listing.
  2. Your bid is a binding offer. Do not bid unless you intend to purchase the vehicle.
  3. The highest qualified bid at auction close constitutes a winning bid and a legally binding contract to purchase the vehicle.
  4. Carbidia will notify both Seller and Buyer of the outcome.

5.1. Bid Increments

To ensure a fair and efficient auction process, all bids must adhere to a minimum bid increment. The increment is determined by the current highest bid and is as follows:

  • $100 increment for bids under $15,000
  • $250 increment for bids from $15,000 up to $49,999
  • $500 increment for bids from $50,000 up to $199,999
  • $1,000 increment for bids $200,000 and over

For example, if the current bid is $20,000, the next minimum acceptable bid is $20,250. The bidding interface will display the next minimum required bid for your convenience. Bids that do not meet this minimum increment will be rejected.

6. Fees and Payment

  1. Buyers Premium
    • Buyers Premium is 5% of the final bid price, calculated on the hammer price before taxes and other charges.
    • Processed through Stripe.
    • Non-refundable under all circumstances.
  2. Payment Processing
    • Buyers Premium is processed through Stripe.
    • You authorize Carbidia and Stripe to charge your chosen payment method.
  3. Seller Proceeds
    • Sellers receive the final bid amount directly from the Buyer—Carbidia does not handle the transfer of auction proceeds.

7. Transaction Facilitation

  1. After auction close and payment of the Buyers Premium, Carbidia provides the Seller’s and Buyer’s contact information to each other.
  2. All further negotiations (payment of vehicle purchase price, title transfer, pickup/delivery logistics) are solely between Buyer and Seller. Carbidia is not a party to those arrangements.

8. Refunds and Cancellations

  1. Buyers Premium is strictly non-refundable, even if the Buyer and Seller later agree to cancel or modify the sale.
  2. Any refund or cancellation of the vehicle purchase price must be agreed directly between Buyer and Seller.
  3. Force Majeure: Neither Carbidia nor the User shall be liable for any failure or delay in performance under these Terms due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor strikes or interruptions, government actions, or other events or circumstances beyond the affected party’s reasonable control.

9. User Conduct

You agree not to:

  • Misrepresent your identity or vehicle condition.
  • Use the Service for unlawful purposes.
  • Interfere with other Users’ use of the Service.

10. Disclaimers

  1. No Warranty: The Service is provided “as is” and “as available,” without warranties of any kind.
  2. Vehicle Condition: Carbidia makes no representations or warranties regarding vehicle condition, fitness, or title.

11. Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and Carbidia regarding the Service, superseding all prior or contemporaneous agreements, understandings, and representations, whether written or oral.

12. Indemnification

You agree to indemnify, defend, and hold harmless Carbidia and its affiliates from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising out of your use of the Service, breach of these Terms, or violation of any law.

13. Governing Law & Dispute Resolution

  1. These Terms and all disputes arising from or related to them are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
  2. The parties agree to first attempt to resolve any dispute through good-faith negotiation or mediation administered by the American Arbitration Association (AAA) under its Commercial Mediation Procedures.
  3. If the dispute is not resolved within sixty (60) days of initiating mediation, the dispute shall be submitted to and finally resolved by binding arbitration administered by AAA under its Commercial Arbitration Rules.
  4. The arbitration shall be conducted in Cheyenne, Wyoming. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14. Changes to Terms

We may modify these Terms at any time. We will post updates to our website with a revised “Last Updated” date. Your continued use of the Service after changes constitutes acceptance of the new Terms. Please also review our Privacy Policy here, which is incorporated by reference into these Terms.
